ZUDIMA Beauty Partner • Version 1.0
This Digital Partner Agreement (“Agreement”) is entered into between ZUDIMA Lifestyle Private Limited (“Company”) and the applicant registering as a ZUDIMA BEAUTY PARTNER (“Partner”).
By registering for and accepting the ZUDIMA BEAUTY PARTNER program, the Partner confirms that they have read, understood, and agreed to the following 16 terms and conditions.
The ZUDIMA BEAUTY PARTNER is an independent business partner associated with the Company for promoting and facilitating the sale of eligible ZUDIMA products within their allocated revenue village territory.
The Partner is not an employee of ZUDIMA Lifestyle Private Limited and shall not represent themselves as an employee, officer, or legal representative of the Company beyond the rights granted under this program.
The Partner shall maintain the reputation, goodwill, and professional image of ZUDIMA and its products at all times.
The Partner shall not:
The Partner shall sell ZUDIMA products strictly at the Maximum Retail Price (MRP) or approved offer price officially communicated by the Company. The Partner shall not engage in unauthorized price cutting or predatory discounting.
If the Partner receives customer payments on behalf of the Company for orders, the Partner shall properly account for and remit the funds through authorized settlement processes. Any misappropriation or fraud will result in immediate termination and legal action.
The Partner shall provide customers with only authentic information regarding Ayurvedic herbs, correct usage rituals, benefits, delivery schedules, and return/refund guidelines.
The Partner shall use only official, Company-provided marketing creatives, product images, and video assets. Unauthorized modifications of advertisements are prohibited.
The Partner shall treat customers with courteous, professional, and ethical conduct in all business interactions.
Partner IDs and village territory allocations are non-transferable without written approval. The Company reserves the right to suspend or block a Partner ID for policy violations or fraudulent behavior.
For any disputes, claims, or contractual matters arising under this Agreement, the parties submit exclusively to the jurisdiction of the competent courts at Kozhikode, Kerala, India.
The Partner shall strictly maintain confidentiality of internal wholesale price structures, margin calculations, supplier details, and proprietary business methods.
The trademark "ZUDIMA", logos, and packaging designs remain the exclusive property of ZUDIMA Lifestyle Private Limited.
The Partner shall comply with applicable local laws, consumer protection guidelines, and tax obligations concerning their independent resale operations.
Partner earnings and resale margins depend entirely upon actual sales performance and market demand. The Company provides no guarantee of minimum profit or return.
Either party may terminate partnership upon written notice, subject to settlement of outstanding orders, receivables, and margin wallets.
The Partner warrants that all registration information, identity credentials, and territory details submitted are true, complete, and accurate.
By checking the agreement acceptance box and submitting this application, the Partner executes a legally binding digital contract under the Information Technology Act.
